Contractor Terms & Conditions

Agreement Overview

These Terms and Conditions are specifically for AtYourStep Contractors. By agreeing to these terms, you, referred to as “you” or the “AtYourStep Contractor” or “Contractor,” enter into an Agreement with AtYourStep Service Inc., also referred to as the “AtYourStep Services” or “AtYourStep Services Marketplace” or “Company.” This document outlines the rights and obligations of both parties regarding the services provided by the Contractor through the Platform. This Agreement should be read in conjunction with the Customer Agreement available at https://atyourstep.ca/terms-conditions/, forming a comprehensive framework governing your interaction with the App, customers, and AtYourStep Service Inc.

Definitions

  • Customer, Client: Any individual or entity that engages the services of a Contractor through AtYourStep Services Marketplace.

  • Service, Job, Reservation, Booking: Tasks, work, or services offered by Contractors or scheduled by Customers through the Platform.

  • Platform, App, Contractor App: The AtYourStep Contractor mobile app operated by AtYourStep Services that facilitates the provision of Services and booking management for Contractors.

  • Commission, Fee: Payment or charge levied by AtYourStep Services for the use of its Platform and services, payable by the Contractor.

  • Unguaranteed Booking, Unguaranteed Job: A reservation made through the Platform that is not yet secured by a pre-authorization of a customer’s credit card.

  • Guaranteed Booking, Guaranteed Job: A reservation made through the Platform that is secured by a pre-authorization of a customer’s credit card.

By registering as an AtYourStep Contractor, you signify that you have read, understood, and agreed to be bound by these terms and conditions and the Agreement in all respects.

PLEASE READ THIS AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

Becoming an AtYourStep Contractor

As a Contractor, you are granted the privilege to post a diverse range of services and engage with prospective clients within your geographical vicinity. The ongoing success of our Service and our ability to connect you with potential clients depend on building and maintaining trust, as well as adhering to a high standard of professionalism.

Customer Service and Professional Conduct

As a Contractor, you are expected to uphold the highest standards of professionalism and customer service. This includes:

  • Accurate Representation: Represent your availability accurately in the app and respond to booking requests promptly and professionally.

  • Transparent Communication: Maintain open and transparent communication with customers, discussing timelines, additional costs, and job specifics.

  • Qualifications and Tools: Ensure you have the necessary materials, tools, and qualifications for the job, confirming job details with the customer before issuing a quote.

  • Customer Satisfaction: Commit to completing tasks to the customer’s satisfaction, not accepting jobs beyond your capability or intention to complete.

  • Legal Compliance: Adhere to all relevant laws and regulations, and protect the App and its affiliates from legal repercussions due to service failures.

Prohibited Actions:

  • Substituting yourself with another person to complete a job.

  • Using the service for illegal activities or outside the intended service categories.

  • Contacting customers for reasons unrelated to the service or sharing their information.

  • Abusing the service or violating others’ rights, including attempting to influence customer reviews through payments or other means.

  • Providing false or misleading information about your services, costs, or job completion times.

  • Engaging with or providing services through other platforms for tasks applied for through this service, or negotiating and accepting work directly from customers met through the service, bypassing the app.

Violation of these standards may lead to immediate disciplinary action, including account suspension or termination.

Certification of Qualifications

You affirm that you possess the requisite qualifications to perform the services you have listed under designated categories. This affirmation signifies that you hold all necessary training, licensing, certification, education, experience, and equivalent credentials required to execute each service with a professional standard of care.

Insurance Representation and Warranty

You confirm and warrant that you possess all mandatory or industry-standard insurance policies, including but not limited to general liability insurance. These policies should provide sufficient coverage for property damage, bodily injury, theft, and property loss to adequately meet your potential liabilities arising from your contractual agreements with customers. You consent to furnish us with copies of the certificates of such Insurance upon our request at any given time and to promptly inform us of any alterations to your Insurance coverage.

Commitment and Delegation

As a Contractor, you agree to complete tasks that you get contracted for within the agreed time frame. You commit to personally performing all services and understand that delegating or transferring any task to a third party, company, or competitor is prohibited. However, if additional help is needed to complete a service, the assisting individual must be a qualified AtYourStep Contractor.

Registration and Account Creation

Before you can enjoy the benefits and privileges of being an AtYourStep Contractor, you must first register for an account with AtYourStep Service Inc. The registration process requires you to provide accurate, current, and complete information about yourself as prompted by the App’s registration form. It is imperative that this information is kept up-to-date and accurate to ensure effective communication and seamless service delivery.

The review and approval process includes a non-refundable registration fee of $100 plus applicable sales tax and undergoing a police check to ensure the safety and integrity of our platform.

Upon successful completion of the police check and approval, you will be granted an account. This account enables you to manage your service offerings, interact with prospective clients, and adhere to the professional standards expected by AtYourStep Service Inc. and its user community. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to:

  • Immediately notify AtYourStep Service Inc. of any unauthorized use of your account or any other breach of security.

  • Use your account in a manner that upholds the integrity and professionalism of the AtYourStep platform.

AtYourStep Service Inc. reserves the right to approve or reject new accounts at its sole discretion.

Preparing Your Profile

Upon activating your account, you are required to add a professional profile within the App that accurately reflects your professional experience and expertise. Your profile should be descriptive and include relevant details about your skills, qualifications, and experience. A personal photo is also required to help users identify you and build trust.

Your profile is publicly accessible along with your photo and is an important tool for attracting potential clients and showcasing your expertise. It is important to ensure that your profile is complete, accurate, and up-to-date. You may edit your profile at any time to add or update information.

We reserve the right to review and approve all profiles before they are made visible to other users.

Posting a Service

The Service enables you to post Services in the predefined categories and sub-categories within the App. In posting a Service, you agree to the following terms:

  • Service Title and Description: The title and description of the Service must be relevant to the category/subcategory in which it is posted. Any irrelevant or misleading information may result in the Service being rejected or removed.

  • Service Image: The image used to represent the Service must accurately depict the Service being offered. The image must not be copyright protected, and you must own full ownership of the image. The image must be of high quality and meet any technical specifications set out by the App.

  • Service Approval/Rejection: We reserve the right to approve or reject any Service posted on the App, in our sole discretion. We may reject a Service if it does not meet the requirements set out in this Agreement, or if we determine that it is not in the best interests of the App or its users.

By posting a Service on the App, you represent and warrant that you have the authority to offer the Service and that the information provided in the Service title, description, and image is accurate and complete.

Setting Your Schedule

The App allows you to set your schedule for providing Services on an hourly basis and for any future date/time, subject to the following limitations:

  • You may only set your schedule between the hours of 6:00 AM and 8:00 PM local time.

  • You must set your schedule at least 24 hours in advance of the desired start time.

By setting your schedule through the App, you represent and warrant that you are available to provide Services during the times specified in your schedule, and that you will make every reasonable effort to fulfill all Service requests that are accepted during those times.

We reserve the right to modify or suspend your schedule at any time, in our sole discretion.

Responding to a Booking Request

You understand that once you receive a booking request, a unique job ID is assigned to the customer request, which identifies all the details about the particular job. The Contractor will be granted access to confidential information, including but not limited to the customer’s name, telephone number, and address. The Contractor expressly acknowledges and agrees that such information is to be treated with the utmost confidentiality.

It is strictly prohibited to disclose, share, or disseminate this information to any third party, under any circumstances, except as explicitly authorized by this agreement or required by law. The Contractor shall utilize this information exclusively for the purposes of fulfilling the requested service and shall conduct all requisite communications pertaining to the service within the confines of the platform.

The commitment of the Contractors to maintain the confidentiality of customer information is imperative.

In order to interact with the customer, you will have access to the following App features:

  • Chat: Use this feature to chat with the customer and clarify all the details of the job, discussing the scope of work, length of execution, and any necessary tools or materials. Establishing a clear understanding of what’s included in the quote is essential in maintaining successful interaction. Chat scripts are saved for future reference, are part of the contract, and are binding.

  • Sending a Quote: Use this feature to send a quote to the customer. If the customer accepts the quote, it becomes binding.

  • Charge Sales Tax: As part of issuing the quote, you’ll have the ability to charge sales tax. It is your responsibility to determine whether sales tax applies to you/the services you are providing, and to remit any amounts collected to the Canada Revenue Agency (CRA). Contact a tax professional to clarify your situation.

  • Confirm Job Completion: Once the job is completed, use this feature to indicate that the work has been completed. You understand that the customer will rate your service and it may be publicly available.

  • Post Review: Use this feature to post a review of the customer after the job is completed. We reserve the right to publish any reviews.

  • File Dispute: Use this feature to file a dispute if there is a disagreement with the customer regarding the job. When you file a dispute, you will be asked to provide details about the issue and any supporting evidence. The dispute will be reviewed by the company, and a decision will be made based on the information provided. The decision is final and binding. It is important to note that disputes should only be filed as a last resort in cases where there is a genuine disagreement between you and the customer regarding the job. Filing frivolous or baseless disputes may result in negative consequences for your account, including suspension or termination.

  • Cancel Booking: As a Contractor, you are not obligated to accept all job bookings. You agree to accept only those jobs for which you are willing, qualified, insured, and capable of completing to a high standard. While you are free to issue quotes for jobs, canceling a job after issuing a quote should be considered a last resort.

Job Cancellation Conditions:

  • Cancellation Prior to Customer Acceptance: You may cancel a job before it has been accepted by the customer without incurring a financial penalty. However, please be aware that such cancellations may affect your acceptance rate.

  • Cancellation After Customer Acceptance: If you choose to cancel a job after it has been accepted by the customer, you will be subject to a cancellation fee. This fee is calculated as a percentage of the total accepted quote (including applicable tax), based on your account’s commission rate classification. Customer acceptance occurs when the customer secures the booking through placing a pre-authorization hold on their credit card against the provided quote.

Booking Cancellation by Customers

Customers may cancel a booking at any time. The application of cancellation fees, however, will depend on the timing of the cancellation:

  • Unguaranteed Bookings: These can be canceled without any charge.

  • Guaranteed Bookings:

    • Cancellations made at least 6 hours before the start time are canceled free of charge.

    • Cancellations made less than 6 hours before the start time will incur a fee equivalent to the cost of one hour’s booking, plus any applicable taxes.

Acceptance Rate

This is the proportion of orders that a Contractor completes compared to those they reject or cancel. A lower acceptance rate can negatively impact the Contractor’s standing on the platform and could lead to suspension or termination of their account at our discretion.

Customer Payments

The responsibility for managing and processing payments from customers for services rendered falls under our purview. A job reservation is deemed to be guaranteed by the customer, signifying their commitment, through the action of placing a pre-authorization hold on their credit card against the provided quote.

Release of Payment: The disbursement of the payment to you, the Contractor, is contingent upon two critical milestones: firstly, your confirmation of the job’s completion on the App, and secondly, the customer’s acceptance of the job as completed on the App. Only upon satisfaction of these conditions will the payment be released from the pre-authorized hold and processed in favor of the Contractor.

Prohibition of External Fees and Charges: You agree not to negotiate, impose, or charge any charges, fees, hourly minimums, travel time or expenses, or other unauthorized fees outside the App’s booking process.

Marketplace Commission

Commission shall be a percentage of the total Service Payment amount, and such percentage to be determined based on the assigned Contractor account type. The Service Fee (Commission) plus applicable sales tax is deducted from the Contractor’s account once the customer deems the job complete and payment of the job is processed.

Contractor Account Classification

Upon joining, Contractors are assigned an initial account classification in accordance with the following criteria:

  • Upon Registration: Contractors are assigned a “Silver status/member”.

  • Upgrade to Gold Status: Contractors become eligible for an upgrade to a “Gold status/member” upon achieving 700 orders within the last 365-day period.

  • Upgrade to Platinum Status: Contractors become eligible for an upgrade to a “Platinum status/member” upon achieving 1500 orders within the last 365-day period.

To receive an account upgrade, Contractors must contact AtYourStep support once they believe they have met the eligibility criteria. Upgrades will not be automatic and are not retroactively applied.

University and college students may join under a distinct Student account type after providing proof. However, they are not eligible for an upgrade unless their account is transferred to the Silver Account classification.

Commission/Fee Structure

The commission structure for each account type at AtYourStep is $2 plus the following rate:

  • Student Account Type: 28%

  • Silver Account: 30%

  • Gold Account: 29%

  • Platinum Account: 27%

We reserve the right, in our sole discretion, to change the commission structure for each account classification. If we choose to change the commission structure, we will notify you by email.

Example of Fee Calculation

Imagine you are a talented hairdresser in Alberta, being a Silver member with AtYourStep. You recently completed a hairdressing service, priced at $40 per hour, for a booking of two hours. After providing a courteous 3% discount on your rate and incorporating the cost of additional supplies, you calculated the payment due from the client, taking into account the sales tax applicable in New Brunswick. Following this, the AtYourStep commission and its related sales tax were computed to determine your final earnings.

Payment Gateway

The company has formalized an agreement with Stripe.com, appointing it as the exclusive payment processor for all transactions involving customer payments and Contractor payouts. All such transactions are to be executed through the infrastructure provided by Stripe.

Processing Fee: Included within the commission rates for each account type is the Payment Processing Fee. Consequently, the fees levied by the payment processor for handling payments are fully absorbed within the commission rates detailed in this Agreement. Contractors shall incur no additional fees specifically for payment processing. Should there be any adjustments to the Payment Processing Fee, these alterations will be directly reflected in the updated commission rates applicable to each account classification. Contractors will receive notification of any such changes through email communication.

Payouts

Payouts to contractors are processed weekly, with payments issued every Friday, provided it is a business day. If Friday falls on a holiday or weekend, the payout will be processed on the next available business day. This schedule ensures that transactions finalized by the end of Thursday are included in that week’s payout, supporting regular and timely fund transfers.

Dormant Account

An account may be classified as dormant if a user has not engaged in specific activities, including logging in, posting a service, or setting an availability schedule, for a continuous period of 365 days from the date of their last recorded activity. Accounts identified as dormant will be subject to reactivation procedures akin to those applied to new accounts. To reactivate a dormant account, users must fulfill all criteria and procedures stipulated for the establishment of new accounts under this platform’s operational guidelines.

Customer Disputes

In the event of a dispute raised by a customer, we retain the authority to withhold any portion of the total service payment due to you. You acknowledge and agree that, should compensation be granted to the customer by AtYourStep Services, you will bear full responsibility for the entire amount of such compensation as well as any related damages, whether directly or indirectly incurred. Compensation may exceed the total service amount. Required reimbursements to AtYourStep Services under this clause must be completed within seven (7) days following our notification to you.

You concede that AtYourStep Services is not obligated to demonstrate that any loss was a result of your negligence, nor to involve you in the decision-making process regarding the entitlement of the customer to compensation.

Moreover, we maintain the prerogative to instruct you to rectify or fulfill the service requirements, to which you agree to comply promptly and without expectation of additional remuneration. Should we, at our sole discretion, decide to appoint another Contractor to rectify or complete the service, you relinquish any entitlement to payment for that job. Acknowledge that we may allocate the withheld funds to remunerate the Contractor enlisted to address or finalize the service in question.

Tax Responsibility

AtYourStep Services does not engage in the collection or remittance of taxes on any Service Payments in any jurisdiction, except as explicitly detailed in any invoice or receipt concerning applicable taxes. By using our Service, you acknowledge and accept that you may be obligated to adhere to income tax and withholding requirements for any income earned, and it is your sole responsibility to ensure the timely payment of such taxes, along with any applicable interest or penalties.

You further recognize that you are entirely responsible for managing tax compliance related to your utilization of our Service. AtYourStep Services will not bear any responsibility for tax compliance on your behalf.

Non-Circumvention

You agree to use this Platform as the only means for requesting, issuing, and receiving payments for services rendered directly or indirectly to customers, or those originating from your relationship with the client or your use of this Platform, for a duration of one year after the fulfillment or conclusion of any Job for said customer.

Account Termination

AtYourStep Services Inc. reserves the exclusive right, at its sole discretion, to terminate, suspend, or deactivate your Contractor Account immediately and without prior notice if we determine that:

  • You have violated any terms of this Agreement or any applicable laws.

  • You have engaged in unprofessional conduct or have consistently delivered subpar work.

  • The information you provided during the registration process, or at any time thereafter, is found to be false, outdated, or incomplete.

  • Your actions, including frequent cancellations or failure to complete Jobs, have led to an unacceptable acceptance rate.

  • Your profile or service offerings do not meet our standards, contain inaccurate, or misleading information.

Upon termination, suspension, or deactivation of your Account, you must cease all use of and association with our Services immediately and end all communication with any customer you have interacted with through the Service. Neglecting these responsibilities, attempting to violate these terms, or any action leading to a breach of this provision may result in immediate termination of your access to the platform, in addition to any other remedies available under the law.

Indemnity

You, the Contractor, agree to indemnify, defend, and hold harmless AtYourStep Services Inc., its affiliates, officers, agents, employees, and partners from any claims, damages, losses, liabilities, or expenses (including, but not limited to, reasonable attorneys’ fees) that arise directly or indirectly from:

  • Any misrepresentation or inaccuracies in your profile or the content you provide.

  • Your unprofessional conduct or behavior in connection with the Services.

  • Your failure to fulfill Service requests as per the agreed schedule.

  • Any breach of the terms of this Agreement, including but not limited to, failure to deliver the contracted service.

  • Your use of the Services in a manner that violates any applicable laws or infringes upon the rights of any third party.

This indemnification obligation will survive the termination or expiration of this Agreement and your use of the Services.

Release of Liability

The Service acts merely as a platform to facilitate connections between customers and Contractors. We do not partake in the direct communication or the execution of Services, and you assume full responsibility for your dealings with customers. Should conflicts arise with one or more customers, you hereby absolve AtYourStep Services Inc. (including our officers, directors, agents, investors, subsidiaries, and employees) from all claims, demands, and damages (whether direct or consequential, and whether known or unknown, suspected or unsuspected, revealed or concealed) that may emerge from or are in any way related to such disputes.

No Assurance for Customers or Bookings

We do not provide any assurances concerning the availability of customers or bookings, customer payments, or the potential to earn income through the platform, Services, or Jobs. There is no guarantee that customers will require the amount and type of Service they initially specify, be present at the designated location, or refrain from canceling the Job. Additionally, we offer no promises regarding your safety upon entering a location and recommend exercising caution and prioritizing safety when accepting, traveling to, arriving at, or completing a Job. We also cannot ensure that customers possess the necessary authorization, permits, or insurance for you to enter the location or carry out the Job. AtYourStep Services Inc. disclaims any warranties regarding a customer’s capacity or intention to pay for or accept the offered services.

Communication

You agree to maintain all App notifications, email subscriptions, and text message subscriptions activated as necessary to uphold the level of customer service and professionalism outlined herein. Opting out of receiving emails or App notifications is not permitted, as these are the primary means of communication for fulfilling your responsibilities under this Agreement.
